Agreement to terms
These Terms & Conditions (“Terms”) form a binding agreement between you and Always On Commerce (“Always On Commerce,” “we,” “us,” or “our”) regarding your use of Always On Commerce products and services.
The services include our marketing site, merchant and agency dashboards, coupon and verification APIs, Shopify app and related integrations, white-label tenant sites, and consumer experiences such as reels, swipe, forms, embeds, and checkout handoffs.
By accessing or using the services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the services.
Eligibility
You must be at least 18 years old, or the age of majority where you live, to use consumer reward, verification, and checkout flows.
Business users must have authority to bind the organization they represent. If you use the services on behalf of a company, “you” includes that organization.
The Always On Commerce
Always On Commerce operates a commerce media and attribution network. We help brands and agencies grow catalog identity and media, distribute experiences, resolve sessions to people when verification allows, and connect integrations (including Shopify) into Always On Commerce-owned systems.
We provide tools for campaign experiences, phone verification, coupon issuance, catalog and order sync for attribution, analytics, and related APIs. Features may change over time. We may add, modify, or discontinue features with reasonable notice when practical.
Plugins and third-party connectors are pipes into Always On Commerce. They are not a separate catalog or identity store.
Accounts and authentication
Dashboard and platform users are responsible for safeguarding login credentials and for activity under their account.
You must provide accurate registration information and notify us promptly of unauthorized access. We may suspend accounts that appear compromised or that violate these Terms.
Merchant and agency responsibilities
If you connect a store, deploy experiences, or run promotions on Always On Commerce, you are responsible for: (a) the accuracy of catalog, pricing, inventory, and campaign creative you supply or sync; (b) complying with advertising, consumer-protection, privacy, and SMS/email marketing laws in the jurisdictions you target; (c) providing your own privacy notice and terms to end users where required, including disclosing that Always On Commerce powers experiences, verification, attribution, or analytics on your behalf; and (d) reviewing and authorizing only the Shopify (or other) scopes shown at install time.
You remain the economics risk owner for discounts and promotions you authorize. Always On Commerce does not warrant that a discount will apply only once across every Shopify checkout path (draft order, discount code, storefront query parameters, or stacking with other merchant discounts). Prefer Always On Commerce checkout handoffs that apply a fixed amount on a draft order when available.
You remain responsible for your storefront, checkout, payments, fulfillment, refunds, and customer support after a consumer leaves a Always On Commerce experience for merchant checkout.
Store credit, coupons, and promotions
Promotional amounts, store credit, cashback, free shipping thresholds, and in-game rewards shown in an experience are subject to merchant rules, inventory, geography, eligibility, and campaign limits. Offer-specific rules also appear in the Promotional Terms section below.
No purchase is necessary to request a verification SMS or claim an eligible offer unless a merchant’s checkout terms state otherwise for redemption. Where enforced in product, offers are limited to one reward per verified phone number per campaign. We do not claim household or device limits unless those controls are implemented for that campaign.
Session offer timers (for example a matches countdown) mark the time remaining in that browsing session window. They are not a guarantee of inventory, pricing, or that an issued reward will remain redeemable after merchant or technical failure.
By tapping a claim button and providing your phone number, you agree to receive a transactional verification SMS for that offer. Message and data rates may apply. Frequency: typically one message per claim. Reply HELP for help or STOP to cancel where supported by the sender. Verification messages confirm eligibility, help prevent duplicate claims, and allow us to issue or honor the promotion. They are not marketing messages unless you separately opt in.
Acceptable use
You may not misuse the services; interfere with normal operation; scrape, harvest, or reverse engineer protected areas without permission; submit false verification or account data; circumvent rate limits or eligibility rules; or use Always On Commerce to send spam or unlawful content.
You may not use the services to process payments card data outside merchant checkout providers, or to build a competing product by systematically extracting Always On Commerce platform data.
We may suspend or terminate access for violations.
Intellectual property
Always On Commerce retains rights in its software, branding, documentation, APIs, and platform design. Merchant trademarks, product media, and campaign assets remain the property of their respective owners.
You receive a limited, revocable, non-exclusive license to use the services as intended while your access remains active. You grant Always On Commerce a license to host, display, and process content you submit or sync as needed to operate the services.
Merchant media and social content
If you sync, upload, or authorize Always On Commerce to host brand, product, or social media (including UGC, music, or platform-sourced clips), you represent that you have all rights and licenses needed to display that media in Always On Commerce experiences and that doing so will not violate third-party rights or platform terms.
You will defend and indemnify Always On Commerce against claims arising from media you supply or instruct us to distribute. Prefer embeds or licensed assets when platform terms restrict redistribution. Report alleged infringement to support@rallynetwork.io for prompt review.
Agencies, white-label, and partners
Agencies and white-label partners (including Always On Commerce tenant sites) may present Always On Commerce-powered experiences under their or their clients’ branding. Unless a separate written Agency Addendum or MSA states otherwise, Always On Commerce remains the operator of verification, coupon issuance, and platform privacy processing described in the Privacy Policy, and consumers may see a Powered by Always On Commerce disclosure with a Privacy Policy link.
Partners must flow down these Terms and the Privacy Policy to client brands, disclose who sends verification SMS, and ensure client campaigns comply with law. Enterprise customers may request a Data Processing Addendum (DPA) and MSA from support@rallynetwork.io.
Third parties and seller of record
Always On Commerce is not the seller of record for merchant products unless a separate written agreement expressly states otherwise. Product sales, taxes, shipping, and payment processing occur on merchant or provider checkout systems (for example, Shopify).
Third-party services linked from or integrated with Always On Commerce have their own terms and privacy practices. We are not responsible for those services.
Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted, secure, or error-free operation, or that promotions, coupons, or attribution will always succeed on third-party systems.
Limitation of liability
To the fullest extent permitted by law, Always On Commerce and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from your use of the services.
Our aggregate liability for any claim relating to the services is limited to the greater of one hundred U.S. dollars (USD $100) or the fees you paid Always On Commerce for the service giving rise to the claim during the twelve months before the event. Merchants on a paid plan remain responsible for discount economics they authorize even when this liability cap applies to platform claims.
Indemnity
If you are a merchant, agency, or other business user, you will defend and indemnify Always On Commerce and its affiliates against claims, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your campaigns, offers, creative, product listings, or media; (b) your violation of law or these Terms; (c) your end users’ disputes about products, payments, or fulfillment; (d) your failure to provide required privacy or marketing notices and consents; or (e) discount stacking, over-issuance, or redemption disputes on your storefront after Always On Commerce issues a code or draft-order discount under your authorization.
Suspension and termination
You may stop using the services at any time. We may suspend or terminate access if you breach these Terms, if required by law, if a connected shop uninstalls or revokes access, or to protect the platform, merchants, or users.
Provisions that by their nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) will survive termination.
Arbitration and class waiver
Except for small-claims matters and IP injunctive relief, disputes arising from these Terms or the services will be resolved by binding individual arbitration administered under the Federal Arbitration Act. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@rallynetwork.io with your name, the email on your account, and a clear statement that you opt out of arbitration.
TO THE EXTENT PERMITTED BY LAW, YOU AND RALLY WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. If arbitration is unavailable or this waiver is found unenforceable for a claim, that claim proceeds in the courts described under Governing law, subject to mandatory consumer-protection venue rules where they apply.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer-protection laws of your residence require otherwise.
Subject to the Arbitration section, courts located in Delaware (state or federal) will have exclusive jurisdiction over disputes arising from these Terms or the services, except that Always On Commerce may seek injunctive relief in any jurisdiction to protect its IP or platform integrity, and consumers may bring eligible claims in a venue required by mandatory local law. Either party may pursue individual claims in small-claims court where eligible.
Changes to these terms
We may update these Terms from time to time. We will post the revised version on this page and update the last updated date.
Continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the services.
